AGREEMENT TO OUR LEGAL TERMS

We are Forex Sim ("Company," "we," "us," "our").

We operate www.forex-sim.com, as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and the Company, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Legal Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Legal Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Legal Terms by your continued use of the Services after the date such revised Legal Terms are posted.

1. OUR SERVICES

1.1 Service Description

The Services provide a comprehensive algorithmic trading platform that allows users to:
  • Build and design algorithmic trading strategies using statistical indicators and mathematical computations
  • Test strategies against historical market data and analyze performance
  • Optionally activate strategies for live trading signal generation through MetaTrader 4 (MT4) Expert Advisor integration
  • Access forex simulation and educational tools
1.2 Algorithmic Trading Strategy Builder

  • Users create trading strategies by defining rules and parameters using available technical indicators (e.g., EMA, moving averages, price actions)
  • The platform provides technical tools and indicators but makes NO recommendations regarding strategy composition or profitability
  • Users have complete discretion and control over strategy design, parameters, and implementation
1.3 Live Trading Signal Service

  • Users may choose to activate strategies for live signal generation
  • Users install our Expert Advisor (EA) software on their MetaTrader 4 (MT4) platform running on their own computer
  • The EA sends current market data to our servers. Market data is analysed in line with the rules and conditions defined by the user in their strategy. Our servers return details of any potential trades to be placed and the Expert Advisor attempts to place the described trades.
  • Users maintain complete control over activation/deactivation of live trading at any time through the online user interface
  • In the case that the online service is not available, users can close their MT4 application to stop the EA running, maintaining full control over trading activities in all scenarios
1.4 Jurisdictional Compliance

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.
2. CRITICAL DISCLAIMERS AND RISK WARNINGS

2.1 NO FINANCIAL ADVICE OR INVESTMENT SERVICES

IMPORTANT: We are NOT providing investment advice, financial advice, trading recommendations, or any regulated financial services. We provide technology tools only.
  • We do NOT suggest which strategies to create or how profitable any strategy may be
  • We do NOT recommend specific trading decisions or investment actions
  • All trading decisions are made solely by users based on their own analysis, judgment, and strategy creation
  • Users are entirely responsible for their own trading decisions, strategies, and outcomes
2.2 TECHNOLOGY SERVICE ONLY

  • We provide software technology tools for strategy creation, testing, and signal generation ONLY
  • We do NOT handle, manage, access, or have any control over user funds or broker accounts
  • We do NOT execute trades on behalf of users or act as a broker
  • All financial transactions occur directly between users and their chosen third-party brokers
  • We have no involvement in the actual trading process beyond signal generation
2.3 TRADING RISK WARNINGS

WARNING: TRADING FINANCIAL INSTRUMENTS INVOLVES SUBSTANTIAL RISK OF LOSS. YOU MAY LOSE SOME OR ALL OF YOUR INVESTED CAPITAL.

By using our Services, you acknowledge and accept that:
  • Past performance and backtesting results do NOT guarantee future performance
  • Algorithmic trading strategies may fail, malfunction, or produce unexpected results
  • Market conditions can change rapidly, significantly affecting strategy performance
  • Technical failures, internet connectivity issues, or software errors may impact signal delivery
  • YOU TRADE ENTIRELY AT YOUR OWN RISK
  • YOU ARE SOLELY RESPONSIBLE FOR ANY AND ALL TRADING LOSSES
2.4 NO GUARANTEES OR WARRANTIES

We make NO representations, warranties, or guarantees about:
  • The profitability or success of any trading strategy
  • The accuracy of signals or strategy performance
  • Continuous availability of the service
  • Compatibility with all broker platforms or market conditions
3. USER RESPONSIBILITIES AND OBLIGATIONS

3.1 Strategy Creation and Management

  • Users are solely responsible for creating, testing, configuring, and managing their trading strategies
  • Users must ensure their strategies and trading activities comply with all applicable laws and regulations in their jurisdiction
  • Users are responsible for monitoring and controlling their live trading activities at all times
  • Users must conduct their own due diligence and risk assessment before activating any strategy
3.2 Technical and Broker Requirements

  • Users must maintain their own MT4 platform and establish their own broker relationships
  • Users are responsible for proper installation, configuration, and operation of our EA software
  • Users must ensure adequate internet connectivity, system security, and computer performance
  • Users are responsible for understanding and complying with their broker's terms and conditions
3.3 Regulatory and Legal Compliance

  • Users are entirely responsible for compliance with all applicable financial regulations in their jurisdiction
  • Users must ensure they are legally permitted to engage in algorithmic trading in their location
  • Users should seek independent legal, tax, and financial advice regarding their trading activities
  • Users must ensure they meet any minimum age, residency, or other legal requirements for trading
3.4 Risk Management

  • Users are solely responsible for implementing appropriate risk management measures
  • Users must set appropriate position sizes, stop losses, and risk limits
  • Users should never risk more than they can afford to lose
  • Users are responsible for monitoring market conditions and adjusting strategies accordingly
4. INTELLECTUAL PROPERTY RIGHTS

4.1 Our Intellectual Property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

Our Content and Marks are protected by copyright and trademark laws (and various other intellectual property rights and unfair competition laws) and treaties around the world.

The Content and Marks are provided in or through the Services "AS IS" for your personal, non-commercial use or internal business purpose only.

4.2 Your Use of Our Services

Subject to your compliance with these Legal Terms, including the "PROHIBITED ACTIVITIES" section below, we grant you a non-exclusive, non-transferable, revocable license to:
  • Access the services
  • Download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use or internal business purpose.
4.3 User-Created Strategies

  • Users retain ownership of their created trading strategies and parameters
  • Users grant us limited rights to process their strategy data solely for signal generation and service operation
  • We do not claim ownership of user strategies but may use aggregated, anonymized data for service improvement
5. USER REPRESENTATIONS

By using the Services, you represent and warrant that:
  • You have the legal capacity and you agree to comply with these Legal Terms
  • You are not a minor in the jurisdiction in which you reside, or you have proper parental/guardian consent
  • You are legally permitted to engage in trading activities in your jurisdiction
  • You understand the risks associated with trading and algorithmic trading specifically
  • You will not access the Services through automated or non-human means, whether through a bot, script or otherwise
  • You will not use the Services for any illegal or unauthorized purpose
  • Your use of the Services will not violate any applicable law or regulation
  • You have sufficient knowledge and experience to understand the risks involved in trading
6. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to:

  • Use the Services to engage in market manipulation, fraud, or any illegal trading practices
  • Attempt to reverse engineer, hack, or compromise our systems or algorithms
  • Share account credentials, API keys, or access information with unauthorized parties
  • Use the Services to create strategies designed to manipulate markets or harm other traders
  • Systematically retrieve data or other content from the Services to create competing services
  • Circumvent, disable, or interfere with security-related features of the Services
  • Upload or transmit viruses, malware, or other harmful code
  • Use the Services for money laundering or other financial crimes
  • Violate any applicable securities laws, regulations, or trading rules
  • Create multiple accounts to circumvent limitations or restrictions
  • Use the Services in any way that could damage our reputation or business
  • Engage in any automated use of the system beyond our intended EA functionality
7. LIMITATION OF LIABILITY AND EXEMPTION FROM TRADING LOSSES

7.1 TRADING LOSS EXEMPTION

CRITICAL PROVISION: TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY TRADING LOSSES, FINANCIAL DAMAGES, OR INVESTMENT LOSSES OF ANY KIND, INCLUDING BUT NOT LIMITED TO:
  • Losses resulting from strategy performance or failure
  • Losses due to market movements or volatility
  • Losses caused by technical failures, delays, or system errors
  • Losses resulting from signal generation errors or delays
  • Losses due to broker execution issues or slippage
  • Missed trading opportunities or failed executions
  • Any direct, indirect, incidental, consequential, or punitive damages related to trading
YOU ACKNOWLEDGE THAT ALL TRADING DECISIONS AND STRATEGIES ARE YOUR CHOICE AND YOUR RESPONSIBILITY. WE PROVIDE TOOLS ONLY - YOU CONTROL ALL TRADING DECISIONS.

7.2 Service Limitations

TO THE MAXIMUM EXTENT PERMITTED BY LAW:
  • We provide the Service "AS IS" without warranties of any kind
  • Our total liability for any claims is limited to the fees paid for the Service in the preceding 12 months
  • We disclaim all warranties regarding service availability, accuracy, or performance
7.3 Technology and System Failures

We are not liable for:
  • System downtime, server failures, or technical malfunctions
  • Internet connectivity issues or network problems
  • Software bugs, errors, or unexpected behavior
  • Data loss or corruption
  • Compatibility issues with third-party platforms
8. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of:
  • Your use of the Services and any trading activities
  • Your trading strategies and their implementation
  • Any breach of these Legal Terms
  • Any breach of your representations and warranties
  • Your violation of the rights of a third party, including intellectual property rights
  • Any trading losses or disputes with brokers or other parties
  • Any regulatory violations or legal issues arising from your trading activities
9. DATA HANDLING AND PRIVACY

9.1 Data Collection and Use

  • We collect strategy parameters and market data necessary for signal generation and service operation
  • We do NOT collect, store, or access personal financial information, broker account details, or trading capital amounts
  • Users are responsible for the security of their API keys, account credentials, and access information
  • We may use aggregated, anonymized data for research, development, and service improvement
9.2 Data Ownership and Third-Party Services

Any money paid to ForexSim is exclusively provided to fund the development and maintenance of the ForexSim online application and related services such as technical support and ongoing software updates and enhancements. ForexSim is not a market data provider nor does it charge for accessing third-party market data services.

Market data servers are administered by third parties at their sole discretion and could be restricted for use or stop working at any time and without prior notice. Currently, the only third-party data provider we are using is Dukascopy (https://www.dukascopy.com/).

We accept no liability for any changes to third-party data services or their impact on the usability of the software.
10. SERVICES MANAGEMENT AND TERMINATION

10.1 Service Management

We reserve the right, but not the obligation, to:
  • Monitor the Services for violations of these Legal Terms
  • Take appropriate legal action against anyone who violates these terms
  • Refuse, restrict access to, limit availability of, or disable any content or features
  • Remove content that violates these terms or applicable laws
  • Manage the Services to protect our rights and ensure proper functioning
10.2 Termination

These Legal Terms shall remain in full force and effect while you use the Services. We reserve the right to deny access to and use of the Services to any person for any reason, including breach of these terms.

If we terminate your account:
  • You must immediately cease all use of the Services
  • You remain liable for any outstanding obligations
  • We may take appropriate legal action if necessary
11. GOVERNING LAW AND DISPUTE RESOLUTION

11.1 Governing Law

These Legal Terms shall be governed by and defined following the laws of the United Kingdom. The Company and yourself irrevocably consent that the courts of the United Kingdom shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these Legal Terms.

11.2 Dispute Resolution Process

Informal Negotiations: To expedite resolution and control costs, the Parties agree to first attempt to negotiate any Dispute informally for at least 180 days before initiating arbitration.

Binding Arbitration: Any dispute arising out of or in connection with these Legal Terms shall be referred to and finally resolved by the International Commercial Arbitration Court under the European Arbitration Chamber (Belgium, Brussels, Avenue Louise, 146) according to their Rules. The seat of arbitration shall be the United Kingdom, and the language of proceedings shall be English.
12. DISCLAIMERS

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF.

WE SPECIFICALLY DISCLAIM ANY WARRANTIES REGARDING:
  • Trading profitability or success
  • Strategy performance or reliability
  • Signal accuracy or timing
  • System availability or uptime
  • Compatibility with broker platforms
  • Market data accuracy or completeness
13. IMPORTANT REGULATORY NOTICE

13.1 Service Classification

Our Services constitute technology tools and software platforms only. We do not:
  • Provide regulated financial services or investment advice
  • Act as a broker, dealer, or investment advisor
  • Manage client funds or execute trades
  • Offer investment recommendations or portfolio management
13.2 User Compliance Obligations

Users are solely responsible for:
  • Determining whether our Services are suitable for their circumstances and jurisdiction
  • Complying with all applicable financial regulations and trading rules
  • Ensuring they have proper authorization for algorithmic trading activities
  • Consulting with qualified legal and financial professionals as needed
14. ELECTRONIC COMMUNICATIONS

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing.
15. MISCELLANEOUS

These Legal Terms constitute the entire agreement between you and us regarding the Services. Our failure to exercise any right or provision shall not operate as a waiver. We may assign our rights and obligations to others at any time. If any provision is determined to be unenforceable, the remaining provisions shall continue in full force and effect.

FINAL ACKNOWLEDGMENT: BY USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. YOU SPECIFICALLY ACKNOWLEDGE THE TRADING RISKS INVOLVED AND AGREE THAT WE ARE NOT RESPONSIBLE FOR YOUR TRADING LOSSES OR INVESTMENT DECISIONS.
